BROKER/CARRIER AGREEMENT

TERMS AND CONDITIONS

1. BROKER OBLIGATIONS

Broker shall pay CARRIER according to the rates stated in each Load Confirmation, which shall supplement this Agreement where applicable. No accessorial or additional charges may be billed unless approved in this Agreement or a Load Confirmation.

Any rate modification made orally must be confirmed in writing within five (5) working days to remain binding.

As a condition of payment, CARRIER must submit a valid Proof of Delivery (POD) and invoice showing delivery to the final destination.

BROKER's responsibility is limited to arranging transportation between the shipper and CARRIER. BROKER does not perform the transportation, possess the freight, or control the means or methods of transportation and shall comply with applicable federal, state, and local brokerage laws.

2. REFUNDABLE SECURITY DEPOSIT — $399.00

CARRIER shall pay a $399.00 refundable security deposit to Lucky World Cargo LLC through an approved payment method.

A written receipt shall be provided by an authorized representative. The deposit shall be refunded upon the first completed delivery, together with the applicable load payment, or upon termination of this Agreement, subject to any outstanding obligations or damages properly incurred by CARRIER.

CARRIER may terminate this Agreement with at least one (1) week's written notice. Broker is responsible for approved detention charges.

3. PAYMENT TERMS

CARRIER must submit the signed Rate Confirmation, invoice, POD, and all required supporting documents.

Quick-Pay: 2% fee for same-day payment.

Standard Payment: No Quick-Pay fee; payment within approximately 24 hours after receipt and approval of required documents.

4. CARRIER OBLIGATIONS AND ACCESSORIALS

To qualify for accessorial charges, CARRIER must be checked in by the scheduled appointment time and submit required documentation within 24–48 hours after delivery.

A time-stamped BOL must be provided within 48 hours of delivery.

Detention

Detention begins after 2 hours past the scheduled appointment time, provided CARRIER notifies BROKER after 60 minutes of waiting.

• $40.00 per hour after 2 hours
• $200.00 maximum per stop
• All detention claims require supporting time-stamped documentation.

Layover

CARRIER must obtain BROKER approval for layovers, delays, or cancellations.

• Dry Van: $200.00
• Reefer: $250.00

TONU

Truck Order Not Used (TONU) requires BROKER approval. TONU Rate: $200.00

5. TERM AND TERMINATION

This Agreement shall remain in effect for an initial term of ninety (90) days beginning on the date stated above.

Unless cancelled, the Agreement shall automatically renew for consecutive one-year terms.

Either Party may terminate the Agreement by providing thirty (30) days' written or electronic notice, provided all outstanding obligations are settled.

Termination does not release either Party from obligations or liabilities that arose before termination.

6. LEGAL COMPLIANCE

Nothing in this Agreement exempts either Party from applicable federal, state, provincial, local, Canadian, or United States laws and regulations, including Customs Regulations and applicable regulatory requirements.

Each Party remains responsible for compliance with the laws and regulations applicable to its respective duties and responsibilities.

ENTIRE CONTRACT

The provisions contained in this AGREEMENT properly express and memorialize the complete understanding and agreement between the parties, including those contained in all prior agreements, both verbal or written, and there are no other agreements or understandings between the parties, express or implied, except as set forth herein.

NOTICES

If carrier wants to end the contract or want to switch the jobs, carrier must give prior notice of 3 days before ending the contract.

7. AGREEMENT — SIGNATURE & PAYMENT

By signing below, the Parties acknowledge that they have read, understood, and agreed to the terms and conditions of this Agreement.

Nothing in the Agreement relieves Carrier/Broker of any responsibilities with respect to Canadian and United States law, including Customs Regulations.
